Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Cortex (the “Service”). By creating an account or using the Service, you agree to these Terms. This is a working draft provided for review and is not a binding agreement.
1. Acceptance of terms
By accessing or using the Service, you confirm that you can form a binding contract and that you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a business, you represent that you are authorized to bind that business.
2. Subscription & billing
Cortex is offered on monthly subscription plans (Solo, Team, and Business). Paid plans begin with a 14-day free trial. Unless you cancel before the trial ends, your selected plan will begin billing at the then-current rate. Subscriptions renew automatically each month until canceled. There are no long-term contracts, and you may cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period. Fees are non-refundable except where required by law.
3. Acceptable use
You agree not to misuse the Service. You will not attempt to disrupt or reverse-engineer the Service, upload unlawful or infringing content, use the Service to violate the rights of others, or exceed the usage limits of your plan. You are responsible for the accuracy of the pricing, quantities, and other inputs you provide, and for reviewing every estimate and proposal before sending it to a client.
4. Estimates & AI-assisted output
Cortex uses automated and AI-assisted tools to help you prepare estimates, takeoffs, and proposals. While Cortex is designed to show the source and confidence of each figure and to record its assumptions, the output is provided for your review and does not constitute professional, engineering, or financial advice. You are solely responsible for verifying all figures before relying on or sending them.
5. Electronic signatures & ESIGN consent
The Service includes electronic signature features. By using them, you and your clients consent, under the U.S. ESIGN Act and the Uniform Electronic Transactions Act (UETA), to conduct transactions and sign documents electronically, and you agree that electronic signatures and records have the same legal effect as handwritten signatures and paper records. You are responsible for ensuring your use of e-signatures complies with applicable law in your jurisdiction.
6. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Cortex does not warrant that the Service will be uninterrupted, error-free, or that any estimate will be accurate or complete.
7. Limitation of liability
To the maximum extent permitted by law, Cortex and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months preceding the claim.
8. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that could cause harm to Cortex or others. Upon termination, your right to use the Service ends, though certain provisions of these Terms survive.
